These Terms and Conditions (**"Terms"**) govern your use of the propertyagent.london website and the services offered therein. By accessing or using the Service, whether as a registered Agent (**"Agent"**) or a casual visitor (**"Visitor"**), you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. References to "you" or "your" in these Terms mean both you as an individual and the entity you represent.

1. Definitions and Interpretation

  1. "Agent": A real estate agent, letting agent, or property professional who has registered an account and pays a subscription or fee to advertise properties and services on the Platform.
  2. "Platform" or "Service": The website located at **[Your Website URL]**, including all related services, content, and features.
  3. "Content": Any data, text, graphics, images, video, listings, property details, Agent profiles, and other materials uploaded, displayed, or submitted on the Platform.
  4. "Publisher," "We," "Us," "Our": Search Advertising Ltd, a company registered in England and Wales with company number 14287565.
  5. "Contract": The agreement between the Agent and the Publisher for the provision of the Listing Services, incorporating these Terms and the applicable Subscription Plan details.

2. Agent Registration and Account

  1. Eligibility: Only registered businesses or legally authorised professionals may register as an Agent. You warrant that all information provided during registration is true, accurate, and complete, and you will promptly update such information.
  2. Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use.
  3. Verification: We reserve the right to verify the professional status, licensing, and credentials of any Agent at any time. Failure to satisfy verification requirements may result in account suspension or termination.

3. Terms of Use (General Use of the Platform)

  1. License: We grant you a limited, non-exclusive, non-transferable right to access and use the Platform for personal or internal business purposes, subject to these Terms.
  2. Prohibited Use: You must not use the Platform:
    • To upload or publish any illegal, misleading, deceptive, or fraudulent Content (including property misdescriptions, as defined by UK law).
    • To engage in data scraping, data mining, or any automated extraction of Content without our express written permission.
    • To transmit any viruses, Trojan horses, or other harmful data or software.
    • In any way that breaches any applicable local, national, or international law or regulation (including the Estate Agents Act 1979 and Consumer Protection from Unfair Trading Regulations 2008).
  3. Intellectual Property: All content, designs, trademarks, and intellectual property on the Platform (excluding Agent Content) belong to the Publisher or its licensors. You may not copy, reproduce, or modify any part of the Platform without permission.

4. Contractual Terms (Listing Services and Payments)

  1. Listing Agreement: The details of the specific advertising package, duration, and fees (**"Subscription Plan"**) agreed upon constitute the Contract between the Publisher and the Agent.
  2. Fees and Payment:
    • The Agent agrees to pay the fees set out in the agreed Subscription Plan. All fees are exclusive of VAT unless otherwise stated.
    • Payment is due **[State payment frequency, e.g., monthly/annually]** in advance and will be billed via the payment method provided by the Agent.
    • We use a secure third-party payment processor (**[e.g., Stripe, PayPal]**) to handle all transactions. We do not store full payment card details on our servers.
    • If any payment is not received by the due date, we reserve the right to suspend or terminate the Agent's listings and/or account access immediately until all outstanding amounts are paid in full.
  3. Auto-Renewal: Unless cancelled in accordance with Section 5, all Subscription Plans will automatically renew for the same term on the renewal date, and the Agent authorises us to charge the applicable fees using the stored payment method.
  4. Agent's Warranties for Listings: The Agent warrants and represents that:
    • They have the necessary authority and rights to list the properties and services advertised.
    • All listing Content is accurate, truthful, compliant with all relevant UK advertising and property legislation, and does not infringe the rights of any third party.
  5. Publisher's Right to Remove: We reserve the right to remove or edit any Listing Content immediately if we believe it breaches these Terms, is misleading, or is subject to a complaint from a third party or regulatory body, without liability to the Agent.

5. Termination and Cancellation

  1. Termination by Agent:
    • Agents must provide at least **[Number, e.g., 30]** days' written notice prior to the next renewal date to prevent the Subscription Plan from auto-renewing.
    • No refunds will be issued for any unused portion of a Subscription Plan term upon cancellation by the Agent.
  2. Termination by Publisher: We may terminate an Agent’s account and Contract immediately if the Agent:
    • Breaches any material term of this Agreement (e.g., failure to pay fees).
    • Engages in conduct we consider to be fraudulent, harmful to other users, or damaging to the reputation of the Platform.

6. Disclaimers and Limitation of Liability

  1. Platform Role: The Publisher operates the Platform solely as an **advertising directory**. We are not an estate agent, nor are we a party to any transaction, negotiation, or contract between an Agent and a Visitor/end consumer.
  2. Content Accuracy: We do not verify the accuracy of the property listings or other Content uploaded by Agents. The Agent is solely responsible for the legality, accuracy, and completeness of their Content.
  3. Limitation of Liability (Business-to-Business):
    • Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud, or fraudulent misrepresentation.
    • Subject to the above, the Publisher shall not be liable to any Agent, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of business, or any indirect or consequential loss arising under or in connection with the Contract.
    • Our total aggregate liability to any Agent in respect of all losses arising under or in connection with the Contract shall be limited to the total fees paid by the Agent to the Publisher in the **twelve (12)** months preceding the date the claim arose.

7. Indemnity

You agree to indemnify, defend, and hold harmless the Publisher, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your breach of these Terms, particularly in relation to any Content you post or any misrepresentation made in your Listings.

8. Governing Law and Jurisdiction

These Terms, their subject matter, and their formation (and any non-contractual disputes or claims) are governed by the law of **England and Wales**. We both agree that the courts of **England and Wales** will have exclusive jurisdiction over any dispute arising from these Terms.
